client of the VMI Firm. As a holder of a Viocity REIT Unit, you are entitled to certain rights under the Declaration of Trust
that governs Viocity REIT and will continue to be entitled to those rights irrespective of the VMI Firm surrender of
registration. Mr. Fairbrother will continue to be a Trustee of Viocity REIT and we encourage you to contact him directly for questions related to your Viocity REIT Units. A copy of the Viocity REIT Declaration of Trust is located at
EXISTING VIOCITY REIT INVESTMENTS THAT WERE PURCHASED THROUGH THE VMI FIRM WILL NOT CHANGE IN ANY WAY AND WILL NOT BE AFFECTED BY THE VMI FIRM’S SURRENDER OF REGISTRATION.
As a client of the VMI Firm, it is imperative that you understand the result of the VMI Firm’s surrender of registration. The outcome of the surrender is that:
• the VMI Firm will no longer be trading in securities for any issuer, including those securities related to Viocity REIT;
• you will no longer be able to purchase Viocity REIT units through the VMI Firm;
• the VMI Firm will no longer provide advice in securities;
• the VMI Firm will not directly or indirectly market or solicit securities in connection with Viocity REIT, or any other
security requiring exempt market registration;
• the VMI Firm will not be remunerated or otherwise compensated for directly or indirectly dealing in exempt market
• the VMI Firm will not act in an intermediary capacity or as a market maker between you and Viocity REIT
The VMI Firm will continue to store your confidential information for a period of seven (7) years from the date that you
became a client of the VMI Firm and will remain bound to its record retention obligations under applicable securities laws. These records are stored in a safe and durable location. Regretfully after many hours of testing this week we have come to the conclusion that generating previous missing statements still does not function as promised. We are currently attempting to generate statements for the month of October 2018 that will show current balances, current distributions, and all distribution payments that have been made since the last statement every client received.
For some of you this will mean this October statement will show distributions from as far back as March 2018 all the way through October 2018. Others will simply see a typical statement with the October distribution. We are continuing to work with our software provider to see if we can get accurate missing statements generated for the affected accounts. The work around also looks success for future statements. Meaning that our November 2018 statements which will be available in December should once again show normally for ALL clients and accounts. We apologize again for the inconvenience, the odd looking October 2018 statements will all be distributed within the next 24 hours. Several Viocity REIT clients over the last 6 months have reported not receiving some or all of their monthly client statements. Working with our software partner an issue was discovered and a temporary work around was deployed successfully over the weekend of October 27/28th, 2018. Once we finish some further testing of this release we will be able to re-run monthly statements for clients who have not received them. Over the next few days and completing by Friday November 2nd, 2018 all clients should receive any and all missing 2018 statements from Viocity REIT.
If AFTER Friday November 2nd, 2018 you are still missing any statements please contact us and let us know at 1.855.659.5959 or via email. We apologize for this inconvenience, going forward the work around should ensure all clients receive the monthly statements. We will also continue to work with our software partner on the permanent solution, implementation currently scheduled for February 2019. Statements are typically issued two week after month end, so currently for 2018 all clients should have January thru September. The October 2018 statements will be issued by November 12th, 2018.
Viocity REIT seeks nominations for candidates to stand for election at the 2018 Annual General Meeting of Unitholders who will serve as Trustees of Viocity REIT for 2018.
Investor engagement is critical to the success of Viocity REIT, and the Board relies upon your recommendations for strong candidates. Please consider nominating yourself or colleagues you know who are already Investors or who are interested in becoming investors at Viocity REIT.
Only Viocity REIT Unitholders may submit nominations. All other interested parties must submit nominations through existing unitholders or become a unitholder themselves. Self-nominations are also welcome if you wish to become a Trustee yourself.
To submit nominations, send names and contact information for each, indicating whether or not you have contacted the nominee, so that a member of the nominating committee can follow up with the nominee accordingly to confirm interest. Self-nominees can simply indicate their interest. Nominees who confirm their interest in standing for election will be requested to supply a formal candidate statement outlining their qualifications for serving on the Viocity REIT board of Trustees. A guideline to who makes a good Viocity REIT Trustee along with basic qualification criteria and roles and responsibilities can be found here.
Nominations must be received by 11:00 p.m. PST Friday, February 23rd, 2017. They should be sent to Viocity REIT by emailing email@example.com. The Nominating Committee will review all nominations and confirm a slate of nominees with the current board of Trustees. An election ballot will be circulated to unitholders in April just prior to the Annual General Meeting in May 2018.
Of the current incumbent Trustees (5), there are (4) that are eligible for re-election on the Viocity REIT board of Trustees. The terms for successful candidates will be from June 1st 2018 - May 31st 2019. Each newly elected Trustee will be eligible for re-election annually for as long as they remain qualified and eligible to be a Trustee.
Nominees must be current Investors in Viocity REIT. Nominees should have high ethical and integrity standards, characteristics typical of director or associate director, and relevant business and/or Real Estate experience. The Viocity REIT Trustees are charged with providing oversight for the REIT, including fiscal oversight, the approval of Investment strategies, approval of new asset acquisitions, and above all ensuring all decisions being made are of the best interest of all Investors / Unitholders.
To meet the needs of a broad and diverse board in a balanced and equitable way, the Board of Trustees is currently composed of 5 members. Based on additional needs the board can grow between 5 and 11 Trustees in any given year. The current board is comprised of:

Viocity REIT is pleased to announce the appointment of Heather McQueen to the board of Trustees. Heather joins the other current Trustees: Gilles Pinto, Chris Knight, Marc Loustau, and Derek Fairbrother. All 5 of whom will serve as Trustees until the Annual General Meeting of Unit holders, tentatively scheduled for May 10th, 2018.
Heather McQueen replaces Bruce Robinson as the 5th member on the board of Trustees effective July 28th, 2017. Bruce who has been one of our Trustees from the very beginning felt the need to retire from the position as he didn't feel he could continue to meet the time requirements of being a Trustee for the remainder of 2017. We Thank Bruce for all of his contributions to Viocity and wish him all the best!
Heather McQueen is the manager of a program office with TELUS Health and leads a team of experienced management professionals who deliver on large scale, high impact programs that support the customer experience for health practitioners and patients. She has over 15 years’ experience in customer service, communications and program management in the telecommunications industry and is known for delivering results on high impact, strategic initiatives. She has 12+ years of experience in the real estate industry, serves as a board member for KidCareCanada and has a Bachelor of Commerce degree from the IH Asper School of Business (University of Manitoba).
